Terms of Service

Drafting notice: these terms were drafted to accurately describe how SalesBuddy actually operates today, as a genuine starting point — not final legal language. They have not been reviewed by a lawyer and should be reviewed (including governing-law and liability provisions appropriate to Nigeria/Ghana/Kenya) before being relied on as binding terms for paying customers.

These Terms of Service ("Terms") govern your access to and use of SalesBuddy ("the Service"). The Service is provided by Raeba Technologies Ltd, a company registered in Nigeria (RC 8385692) ("SalesBuddy", "we"). By creating an account, you agree to these Terms.

1. The Service

SalesBuddy is a multi-tenant SaaS platform that lets a business ("you", "tenant") connect a WhatsApp number and configure an AI agent to qualify leads, confirm orders, hand off deliveries to logistics partners, and track their status — plus a dashboard for order, staff, and configuration management.

2. Your account and responsibilities

  • You're responsible for the accuracy of the business information, product catalog, and AI configuration you provide — the agent responds to your customers using what you've configured.
  • If you choose the self-hosted WhatsApp connection option (rather than the official Meta WhatsApp Business API), you acknowledge this carries a real risk of the WhatsApp number being banned by Meta, since it isn't an officially sanctioned integration. You're responsible for giving your own end customers clear, unmissable notice of this at the point you choose that option — not burying it in general terms.
  • You're responsible for your staff accounts and keeping login credentials secure.
  • You must comply with applicable law in how you collect and use your own customers' data, including obtaining any consent your jurisdiction requires for automated messaging.

3. AI-generated content

Replies, order confirmations, and other content generated by the AI agent are produced automatically based on your configuration and knowledge base. While we work to keep the agent accurate and on-topic, AI-generated output can be wrong — you're responsible for reviewing your knowledge base/product data for accuracy and for monitoring escalations flagged for human review. SalesBuddy is not liable for losses arising from an AI-generated reply your customer relied on.

4. Payments

Your SalesBuddy subscription is billed via our payment processor (Flutterwave) on the plan you select. SalesBuddy does not process payments between you and your own customers — for cash-on-delivery orders, your logistics partner collects and remits payment directly to you; for prepaid orders, payment happens through your own payment channel, outside SalesBuddy.

5. Acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk messages (spam) or messages your recipients haven't agreed to receive.
  • Sell or promote illegal goods or services.
  • Attempt to circumvent tenant data isolation or access another tenant's data.
  • Reverse-engineer or attempt to extract the underlying models/infrastructure powering the Service beyond normal use of your own account.

6. Data

Our Privacy Policy describes what data we collect, how it is used and shared, and how long it is kept. For the personal data of your customers, which enters the Service through your WhatsApp conversations, you decide why and how it is used and SalesBuddy acts as your data processor. This means that SalesBuddy:

  • uses that data only to provide the Service to you and on your instructions;
  • keeps it secure, and keeps each business's data separate from every other business's;
  • uses only the service providers named in the Privacy Policy to process it;
  • helps you answer your customers' requests about their data (for example, you can delete one customer's data from the dashboard);
  • deletes it as described in the Privacy Policy and on the Data deletion page when you delete your account; and
  • tells you without undue delay if a breach affects it.

You confirm that you have a lawful basis to use your customers' data through the Service and that you have told your customers about it in your own privacy notice.

7. Suspension and termination

We may suspend or terminate an account for material breach of these Terms, including abusive use, non-payment, or activity that puts the platform or other tenants at risk. You may cancel your subscription at any time from the dashboard.

8. Disclaimers and limitation of liability

The Service is provided "as is". To the fullest extent permitted by law, SalesBuddy is not liable for indirect, incidental, or consequential damages, including lost sales or lost profits arising from Service downtime, third-party provider outages (WhatsApp, AI providers, logistics partners), or AI-generated content.

9. Changes to these Terms

We may update these Terms as the Service evolves. Continued use after an update constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria.
